These Terms of Service ("Terms") govern your access to and use of the website, products, and services (collectively, the "Services") provided by MediSea Robotics e.U. ("we," "us," or "our"). • We offer AI-powered, modular robotics orchestration software, consulting, pilot programs, and related support as described on our website.
• All Services are subject to availability and may be modified, suspended, or discontinued at any time.

4. User obligations

Registration and credentials

• Users must provide accurate, complete information when registering.
• Users are responsible for maintaining the confidentiality of their login credentials and for all activities under their accounts.

Lawful use

• You agree not to use the Services for any unlawful purpose or in violation of any local, EU, or Austrian laws and regulations.
• Prohibited uses include: reverse-engineering our software, interfering with network integrity, transmitting malware, or infringing third-party rights.

5. Intellectual property

• All rights, title, and interest in and to the Services and Content (including software, documentation, trademarks, and logos) are and remain with MediSea Robotics e.U.
• Any feedback or ideas you submit become our exclusive property.

6. Fees and payment

• Pricing for pilot programs, SaaS subscriptions, and hardware leasing is as quoted in your order or on our site.
• Invoices are payable within 30 days, unless otherwise agreed in writing.
• Overdue payments may incur interest of 4% per annum above the European Central Bank's base rate.

7. Warranty and disclaimers

• We warrant that we will provide Services with reasonable skill and care.
• To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including fitness for a particular purpose and non-infringement.

8. Limitation of liability

• Total liability cap: our aggregate liability under these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.
• We are not liable for indirect, incidental, or consequential damages, including loss of profit, data, or business interruption.

9. Indemnification

You agree to indemnify, defend, and hold us harmless from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from (a) your violation of these Terms, (b) your negligence or wilful misconduct, or (c) your infringement of any third-party rights.

10. Data protection and privacy

• Our collection and processing of personal data are governed by our Privacy Policy.
• We process data in compliance with the EU GDPR and the Austrian DSG.

11. Termination

• Either party may terminate your access to the Services for material breach of these Terms, subject to a 14-day cure period.
• Upon termination, your right to use the Services ceases; any accrued payment obligations survive.

12. Governing law and dispute resolution

• These Terms are governed by Austrian substantive law, excluding conflict-of-law rules.
• Any disputes shall be resolved by the competent courts of Ried im Innkreis, Austria, unless mandatory consumer protection laws require otherwise.

13. Changes to terms

We may update these Terms periodically. We will post the revised date at the top and notify you of material changes. Continued use after changes constitutes acceptance.
